Terms of Service

1. Acceptance of Terms

By accessing or using Preforge (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the Platform. Your continued use of the Platform following any changes to these Terms constitutes acceptance of those changes.

2. Eligibility

You must be at least 18 years old to use the Platform. By registering, you represent and warrant that:

• You are at least 18 years of age;
• You have the legal capacity to enter into a binding contract;
• Your use of the Platform — including participating in NFT auctions, making direct purchases, and using forging or redemption features — is not prohibited by any applicable law or regulation in your jurisdiction;
• You are not located in, or a citizen or resident of, any jurisdiction where online digital asset marketplaces or auction participation is restricted or prohibited.

It is your sole responsibility to determine whether your use of the Platform complies with the laws of your jurisdiction. Preforge makes no representations regarding the legality of the Platform in any specific jurisdiction.

3. Account Security

You are entirely and solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:

• Use a strong, unique password and keep it confidential;
• Not share your account with any third party;
• Notify us immediately upon becoming aware of any unauthorised access to your account.

Preforge accepts no liability whatsoever for any loss, damage, or harm arising from unauthorised access to your account, including but not limited to account compromise, credential theft, phishing, or any other form of unauthorised use. Any activity that occurs under your account — whether authorised by you or not — is your sole responsibility.

In the event of a suspected compromise, we may investigate at our sole discretion, but we are under no obligation to restore lost funds, NFTs, or account status, and make no guarantees of any outcome of any such investigation.

4. Nature of the Service

Preforge is a digital asset marketplace and auction platform for NFTs. The Platform offers multiple ways to acquire, create, and interact with digital assets:

• Auction Participation: Time-limited auction events where multiple users place bids on an NFT. Each participant's bid amount determines their proportional weight in the selection — the larger your bid relative to the total pool, the greater your probability of receiving the NFT. Participants not selected receive a partial bid credit, minus a platform fee.
• Direct Purchase: NFTs may be purchased directly at a fixed listed price, with no auction participation required.
• Forging: Existing NFTs may be combined or upgraded to create new digital assets through the Platform's forging mechanic.
• Redemption: NFTs may be redeemed for platform rewards, benefits, or other digital assets as defined by individual NFT properties.

Preforge is not a casino, lottery, or gambling service. The auction mechanism is a weighted proportional bid system — your probability of receiving an auctioned NFT is directly and transparently tied to the size of your bid relative to all other participants in that auction. Unlike gambling, your financial commitment directly influences the outcome.

The Platform is not an investment platform. NFTs listed on Preforge are speculative digital assets. Nothing on the Platform constitutes financial, investment, or legal advice.

Preforge is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

5. Auctions & Purchases

By participating in an auction or making a purchase, you acknowledge and accept that:

• Auction outcomes are determined by a weighted bid algorithm — your probability of receiving the NFT is proportional to your bid's share of the total bid pool for that auction;
• A higher bid increases your probability of receiving the NFT, but does not guarantee it — there is no guarantee that you will receive the NFT in any given auction;
• Participants not selected in an auction receive a partial bid credit returned to their account balance, minus a platform transaction fee; the credit returned is never 100% — the platform fee is always charged;
• Direct purchases at a fixed price are always available as an alternative to auction participation;
• Technical issues, including but not limited to server downtime, network failures, or software bugs, may affect auction windows. Preforge is not liable for any bids missed, duplicated, or otherwise affected by technical failures;
• Preforge reserves the right to void, cancel, or reverse any auction at its sole discretion if it determines that the integrity of the auction has been compromised.

All bids and purchases are final once placed. You may not cancel, reverse, or dispute a bid or purchase after it has been submitted, except as required by applicable law.

6. NFT Value

NFT values on the Platform are speculative and can change at any time. Preforge does not guarantee, represent, or warrant any particular value for any NFT. NFT values may increase, decrease, or become zero entirely. Past performance of any NFT is not indicative of future value.

Preforge is not responsible for any loss of value of NFTs held in your account, whether caused by market conditions, platform changes, or any other factor.

7. Fees & Payments

The Platform charges transaction fees on auction participation, direct purchases, forging, and redemption activity. Fee rates are displayed on the Platform and are subject to change at any time with reasonable notice. All fees are non-refundable except as expressly provided by the Platform's built-in bid credit mechanics.

Deposits are made in accordance with the payment methods available on the Platform. Preforge is not responsible for any fees charged by third-party payment processors. Withdrawal requests are subject to review and may be delayed or denied if we have reason to suspect fraudulent activity.

8. Prohibited Conduct

You agree not to:

• Use bots, scripts, or automated tools to interact with the Platform;
• Attempt to manipulate auction listings, bid weighting, or outcomes;
• Create multiple accounts to circumvent restrictions or gain unfair advantages;
• Engage in money laundering or any other illegal financial activity;
• Attempt to gain unauthorised access to any part of the Platform or other users' accounts;
• Upload NFTs that infringe third-party intellectual property rights.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Preforge and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of funds, NFTs, or digital assets;
• Loss of profits or revenue;
• Loss of data;
• Damage resulting from unauthorised account access;
• Damage resulting from Platform downtime or technical failures;
• Any losses arising from your reliance on Platform content.

In any case where liability is found, Preforge's total cumulative liability to you shall not exceed the total fees paid by you to Preforge in the thirty (30) days immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be attempted to be resolved informally by contacting us. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with the rules of a recognised arbitration body.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Preforge. All disputes must be brought in your individual capacity only.

11. Termination

Preforge reserves the right to suspend or permanently terminate your account at any time, with or without notice, for any reason including but not limited to breach of these Terms, suspected fraudulent activity, or conduct that we determine to be harmful to the Platform or other users.

Upon termination, your right to use the Platform ceases immediately. Preforge is not liable for any loss resulting from account termination. Any funds held in your wallet at the time of termination for cause may be forfeited at our sole discretion.

12. Changes to Terms

Preforge reserves the right to modify these Terms at any time. We will notify you of material changes via the Platform or by email. Your continued use of the Platform after any such modification constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any legal action or proceeding relating to these Terms shall be brought exclusively in the competent courts of the applicable jurisdiction.
